Justin F. Hoffman is a corporate partner at Winston & Strawn LLP. For over 20 years, Justin has advised public and private companies, underwriters, and investors on structuring and executing debt and equity capital solutions across corporate finance, M&A, and governance matters. He works closely with clients to navigate complex transactions, optimize capital structures, and achieve their strategic goals. Based in Houston and New York, Justin has deep experience across the energy, technology, financial services, and consumer products sectors. He regularly represents clients in public and private capital markets transactions, M&A deals, special situations, and restructurings, with particular expertise in the energy industry, including upstream, midstream, and oilfield services, as well as coal and renewable energy projects.

Mike is the co-chair of the firm’s Capital Markets Practice, and a member of the firm’s Executive Committee. He focuses his practice on corporate finance and securities law, including securities offerings, public company advisory, special purpose acquisition company offerings, private equity and venture capital transactions, mergers and acquisitions, and general corporate representation. Mike regularly counsels public companies on strategic transactions, capital markets offerings, and general corporate and securities law matters. He represents both issuers and underwriters in U.S. and non-U.S. capital markets transactions, including IPOs and direct listings. Mike routinely assists clients from many different industries, including, among others, energy & infrastructure, healthcare & life sciences and technology and new media.

An experienced member of the Morse’s Corporate Practice Group, Dan’s practice is focused on guiding his clients, which range from emerging and middle-market companies to family businesses and entrepreneurs, through corporate governance, employment matters, strategic commercial transactions, equity and debt fundraising activities, and mergers and acquisitions. Dan’s mergers and acquisitions practice focuses primarily on the technology and life sciences industries. Dan is a member of the Firm’s Corporate, M&A, VC, and Commercial Debt Financing practices. Prior to joining Morse, he was Of Counsel in the corporate group of an international law firm.

Erik is a Managing Director at Centri Business Consulting. He has more than 18 years of public accounting and consulting experience. He focuses on providing technical accounting research services across a variety of accounting topics. He also provides support for accounting and audit readiness, SEC reporting, and IPO readiness. Erik specializes in supporting clients by documenting the accounting treatment of various transactions, including complex debt and equity analysis, acquisition accounting, stock compensation arrangements, and accounting standards implementations. He also performs IPO and M&A readiness services and supports clients with their financial reporting requirements.
